Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and MSL CARE LLC, operating as Member Store, concerning your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Services Description

MSL CARE LLC provides professional computer integrated systems design and related technical services, including but not limited to:

• Computer systems design and architecture
• Technical consulting and strategic planning
• Cloud infrastructure and migration services
• Data analytics and business intelligence solutions
• Cybersecurity and compliance services
• Managed IT services and support

Specific service details, deliverables, and timelines will be outlined in individual service agreements or statements of work.

User Obligations

When using our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breaches
• Use our services only for lawful purposes and in accordance with these Terms
• Not interfere with or disrupt the integrity or performance of our services
• Not attempt to gain unauthorized access to our systems or networks
• Comply with all applicable laws and regulations
• Respect intellectual property rights of MSL CARE LLC and third parties

Intellectual Property Rights

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and documentation, are owned by MSL CARE LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Unless otherwise specified in a service agreement, all custom solutions, code, and deliverables created specifically for you remain your property upon full payment. However, MSL CARE LLC retains ownership of any pre-existing intellectual property, tools, methodologies, and frameworks used in delivering services.

Payment Terms

Payment terms for services will be specified in individual service agreements. General payment provisions include:

• Invoices are due within 30 days of issuance unless otherwise specified
• Late payments may incur interest charges at the rate of 1.5% per month
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated in the service agreement
• Prices are subject to change with 30 days notice for ongoing services

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation includes:

• Not disclosing confidential information to third parties without prior written consent
• Using confidential information only for the purposes of the service engagement
• Implementing reasonable security measures to protect confidential information
• Returning or destroying confidential information upon request or termination of services

Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from third parties.

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• Our services are provided on an as-is and as-available basis
• We do not guarantee that our services will be uninterrupted, error-free, or completely secure
• We disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose
• We do not warrant that our services will meet all your requirements or expectations
• Any advice or information obtained from us does not create a warranty not expressly stated in these Terms

Limitation of Liability

To the maximum extent permitted by law:

• MSL CARE LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim
• We are not liable for any loss of data, profits, revenue, or business opportunities
• We are not responsible for delays or failures due to circumstances beyond our reasonable control

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless MSL CARE LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of third parties
• Your violation of applicable laws or regulations

Term and Termination

These Terms remain in effect while you use our services. Either party may terminate the service relationship:

• For convenience with 30 days written notice
• Immediately for material breach of these Terms
• Immediately if required by law or regulatory authority

Upon termination:

• You must pay all outstanding fees for services rendered
• We will provide you with any deliverables completed up to the termination date
• Both parties must return or destroy confidential information
• Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination

Dispute Resolution

In the event of any dispute arising from these Terms or our services:

• The parties agree to first attempt to resolve the dispute through good faith negotiations
• If negotiations fail, the parties may pursue mediation before resorting to litigation
• Any legal action must be brought in the state or federal courts located in San Bernardino County, California
• These Terms are governed by the laws of the State of California, without regard to conflict of law principles

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet service failures.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the Last Updated date
• Sending notice to your registered email address for significant changes

Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and MSL CARE LLC regarding our services and supersede all prior agreements and understandings.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
